1. Acceptance of Terms

Welcome to Joint-Minds Cooperative Multipurpose Society Ltd. By accessing or using our website, member portal, and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms constitute a legally binding agreement between you and Joint-Minds Cooperative Multipurpose Society Ltd regarding your use of our digital platforms and services.

2. Membership Eligibility

To become a member of Joint-Minds Cooperative, you must:

• Be at least 18 years of age
• Be a Nigerian citizen or legal resident
• Provide accurate and complete registration information
• Pay the required registration fee and minimum share capital
• Agree to abide by the Cooperative's bye-laws and regulations
• Be recommended by an existing member or approved by the Board

3. Member Account

3.1 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Create a strong, unique password
• Not share your login credentials with others
• Immediately notify us of any unauthorized access
• Log out after each session on shared devices

3.2 Account Information

You agree to provide accurate, current, and complete information during registration and to update such information as necessary. False or misleading information may result in account suspension or termination.

4. Financial Services

4.1 Savings

Members are required to make regular savings contributions as determined by the Cooperative. Savings earn interest at rates determined by the Board and are subject to withdrawal conditions specified in the bye-laws.

4.2 Loans

Loan applications are subject to approval based on:

• Member's savings and share capital balance
• Creditworthiness and repayment history
• Availability of qualified guarantors
• Purpose of the loan and supporting documentation

By accepting a loan, you agree to:

• Repay the principal and interest according to the agreed schedule
• Maintain adequate savings and share capital as security
• Inform the Cooperative of any changes affecting repayment ability
• Accept that guarantors may be liable in case of default

4.3 Share Capital

Members may purchase shares subject to the maximum holding limits set by the Cooperative. Shares earn dividends based on annual performance and cannot be transferred without Board approval.

5. Member Obligations

As a member, you agree to:

• Make regular and timely savings contributions
• Repay all loans according to agreed terms
• Attend general meetings and participate in Cooperative activities
• Comply with all bye-laws, rules, and regulations
• Keep your contact information current
• Act in the best interest of the Cooperative
• Not engage in activities that harm the Cooperative's reputation

6. Use of Digital Platform

6.1 Permitted Use

The member portal is provided for:

• Viewing account balances and transaction history
• Submitting loan applications
• Accessing statements and documents
• Communicating with the Cooperative
• Updating personal information

6.2 Prohibited Activities

You agree not to:

• Access others' accounts without authorization
• Attempt to hack, disable, or interfere with the platform
• Use automated systems to access the platform
• Transmit viruses, malware, or harmful code
• Misrepresent your identity or affiliation
• Use the platform for illegal purposes

7. Intellectual Property

All content on our website and member portal, including text, graphics, logos, and software, is the property of Joint-Minds Cooperative or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

8. Limitation of Liability

To the maximum extent permitted by law:

• The Cooperative is not liable for indirect, incidental, or consequential damages
• We do not guarantee uninterrupted access to our digital platforms
• We are not responsible for third-party service disruptions
• Our total liability shall not exceed the amount of your share capital

9. Dispute Resolution

Any disputes arising from these Terms or your membership shall be resolved as follows:

1. Negotiation: Parties shall first attempt to resolve disputes amicably
2. Mediation: If negotiation fails, disputes shall be referred to the Cooperative's Disputes Committee
3. Arbitration: Unresolved disputes shall be submitted to arbitration under Nigerian law

10. Termination of Membership

Membership may be terminated:

• Voluntarily: By giving written notice and settling all outstanding obligations
• By the Cooperative: For breach of bye-laws, fraud, or conduct prejudicial to the Cooperative
• By death: Benefits transferred to designated beneficiaries

Upon termination, you are entitled to receive your savings and share capital after deducting any outstanding loans and obligations, subject to the Cooperative's withdrawal policies.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, including the Nigerian Cooperative Societies Act and applicable regulations.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms. We will notify members of material changes through the member portal or direct communication.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
